Semiconductor M&A: onsemi Acquires Synaptics for $7 Billion
2026-06-26
On June 25, power semiconductor giant onsemi announced an all-stock acquisition of edge AI chip company Synaptics for approximately $7 billion — the largest deal in onsemi's history.
Under the agreement, Synaptics shareholders will receive 1.35 shares of onsemi common stock for each Synaptics share they hold, representing a premium of about 19% over the volume-weighted average trading price of both companies over the prior 10 trading days. Upon completion, former Synaptics shareholders will own roughly 12% of the combined entity on a fully diluted basis, and one member of Synaptics' board will join onsemi's board.
The transaction has received unanimous approval from both boards and is expected to close by mid-2027, subject to Synaptics shareholder approval, regulatory clearances in multiple jurisdictions, and other customary conditions. onsemi expects the deal to be accretive to non-GAAP earnings per share within 18 months post-closing, generate approximately $200 million in annual operating synergies, and maintain its long-term gross margin model.
Strategic Rationale
The acquisition completes what onsemi's CEO calls the four pillars of "Physical AI": power, sensing, connected computing, and control. The combined platform can serve applications ranging from autonomous driving and humanoid robots to factory automation and smart homes - delivering a one-stop solution from perception through decision-making to execution. onsemi estimates that by 2030, its addressable market will expand from $213 billion to $243 billion, adding $30 billion in Physical AI-related opportunities.
Rising Semiconductor M&A Momentum
M&A activity at the intersection of semiconductors and AI is accelerating. Just this week, Qualcomm acquired infrastructure startup Modular to bolster its software capabilities. Earlier this month, Salesforce announced its ~$3.6 billion acquisition of AI-powered customer service platform Fin.
