Denso Pulls Plug on ROHM Acquisition Proposal

Recently, Japanese automotive parts giant Denso has officially considered withdrawing its full acquisition proposal for semiconductor manufacturer ROHM. This deal, valued at up to 1.3 trillion yen (approximately $82 billion), has stalled due to a failure to gain approval from ROHM's board of directors.
Details of the ROHM Acquisition Proposal
The deep collaboration between the two parties focused on the core of automotive electrification and intelligence—semiconductors. However, Denso's full acquisition proposal did not gain acceptance from ROHM. ROHM's board of directors established a special committee to evaluate the proposal. By late April 2026, news confirmed that ROHM's board had explicitly rejected this acquisition. As approval from the target company could not be obtained, Denso was forced to consider completely withdrawing this acquisition offer. Although previous analysis suggested that Denso might initiate an unsolicited, hostile tender offer (TOB) if rejected, this option ultimately did not materialize.
New Path for Japanese Power Semiconductor Restructuring
While the Denso acquisition proposal was progressing, another path for restructuring in Japan's power semiconductor industry became clear. On March 27, 2026, ROHM, Toshiba, and Mitsubishi Electric jointly announced that they had signed a Memorandum of Understanding (MOU), planning to merge their respective power semiconductor businesses to establish a new joint venture operating company.
